Dear Sir,
As you are now making a contract with the Imperial Chinese Railway to serve
as their Engineer-in-chief our Contract with you dated Oct 1887 will become
void as soon as you hand over your duties to whomever we may appoint.
I have arranged however with H.E. the Viceroy that you will , while in
government employ still act as our Consulting Engineer whenever we may
request your assistance for which we shall pay three hundred pounds per annum
and your house as at present, but no further allowances

Terms of Agreement made between Tong King Sing Taotai, Managing Director of
the Chinese Engineering and Mining Company, Li Shu Tang Taotai, Chau Lang
Ting General, Yung Hung Tien Taotai, Directors of the Imperial Chinese
Railways by order of the Minister for North China and Claude W Kinder MICE
Civil Engineer of England -
1.Whereas it is agreed that the said Directors shall employ the said Kinder
as Engineer in Chief & Superintendent of such Railways and bridges as
they may build in North China. Both for their survey construction and working
and that the said Kinder shall to the best of his ability faithfully carry
out work entrusted to him for the period of two years from the date of this
agreement and after that term both parties have the option to continue or
discontinue this agreement by giving six months notice.
2. For such services rendered the said Directors shall pay the said Kinder
the sum of two and fifty pounds Sterling per quarter paid as it shall become
due at the exchange rate of the day.
3. In addition thereto the said "Kinder" shall - be entitled to
unfurnished quarters, all travelling expenses, medicines and medical
attendance, and furthermore should he be required to conduct travelling
surveys for Railway purposes outside the Province of [Chihli] he shall
receive extra pay of three dollars per diam.
4. It is understood that the said Kinder shall have full legitimate control
over all Foreign employees connected with Railway [services] and must
exercise greatest discretion in the engagement of all such, so that only
skilled, capable, respectable and honest men are employed.
5.The said Kinder shall while obeying the Directors exercise full and sole
control over all employees native or Foreign engaged under his orders and
must inspect and reject all unsuitable materials supplied to him for the
works.
6. All Indents for materials from abroad must first be sent to the
Directors for their approval and no order for their purchase be forwarded to
Europe except by their command.
7. No construction expenditure must take place without proper drawings and
estimates being duly submitted through the Directors to the Minister for
North China and approval by him.
8.ln order to ensure strict discipline the Directors will in no case
attempt to interfere with any officers placed under the said Kinder's orders,
but will in all cases request him to transmit any instructions they may
desire to give, Chinese officers engaged under Foreigners cannot be punished
by them but any offence must be reported to Directors who will see that
justice is done and for any offence or negligence, Head workmen or workmen
employed under Foreigners can be fined or dismissed by them as customarily
provided that such fines or dismissal be reported to Directors.
9. The said Kinder shall not be held responsible for any delays or losses
incurred by defects in management of Financial matters, Cashier's Department,
or purchasing Agents, which are solely controlled by Directors.
10. The said Kinder shall in no case publish or furnish to outside parties
any information
which may be detrimental to the interests of the service.
11. In case of any misunderstanding with the Direcors the said Kinder has
the right to appeal to the Minister for North China and shall do so whenever
the welfare of the service may require it.
